Acceptance of Terms

These Terms form a legally binding agreement between you and Dion AI LLC. Your continued use of our website and services constitutes acceptance of any updates to these Terms.

Scope of Services

Dion AI LLC provides AI systems, automation workflows, consulting services, and digital infrastructure designed to help businesses grow, attract clients, and operate more efficiently.

Our services include but are not limited to:

• Conversion websites and landing pages optimised for AI search
• AI agents for lead follow-up, client acquisition, and reputation management
• Business automation workflows and CRM integrations
• AI visibility and content strategy (AEO + SEO)
• Strategic consulting and implementation support

We reserve the right to update, modify, or discontinue any service at any time without prior notice. We will make reasonable efforts to communicate material changes where possible.

Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into a binding agreement on behalf of yourself or your business
• Use our services exclusively for lawful business purposes
• Comply with all applicable laws and regulations in your jurisdiction

By using our services, you represent and warrant that you meet all eligibility requirements listed above.

Payments & No Refund Policy

We are transparent about our payment terms from the outset. Please read this section carefully before engaging our services.

• All payments are final once work has commenced on your project or service
• Subscription services renew automatically at the end of each billing cycle unless cancelled in writing prior to the renewal date
• Late payments may result in suspension or termination of active services until outstanding balances are settled
• No refunds will be issued for completed or partially delivered work, including strategy sessions, build phases, and deployed systems
• All fees are quoted and payable in the agreed currency; applicable taxes are the responsibility of the client

User Responsibilities

When using our services, you agree to the following responsibilities:

• Use all services in accordance with applicable local, national, and international laws
• Not input sensitive, confidential, or illegal data into any AI system or workflow without appropriate authorisation
• Not attempt to misuse, reverse-engineer, or exploit any AI system, framework, or output we provide
• Provide accurate information during onboarding and throughout our engagement
• Maintain the security of any credentials, access keys, or login details provided to you
• Not use our services to spam, harass, deceive, or harm any third party

You are solely responsible for the content you provide to us and the way you act on AI-generated outputs.

AI-Specific Terms

• Accuracy — AI-generated outputs may be inaccurate, incomplete, or outdated. We recommend human review of all AI outputs before acting on them
• No guarantee of results — we do not guarantee specific revenue outcomes, lead volume, or business performance resulting from the use of our AI systems
• Decision responsibility — you are solely responsible for all business decisions made using AI outputs or automated workflows
• AI as support — AI is a support tool. It does not replace legal, financial, medical, or other professional advice
• System availability — we aim for high uptime but cannot guarantee uninterrupted service due to the nature of third-party AI infrastructure

Our philosophy: AI does not replace your team. It removes repetitive work, improves performance, and gives your people time back to focus on what matters most.

Intellectual Property

Ownership of intellectual property is as follows:

• Dion AI LLC retains ownership of all proprietary systems, frameworks, methodologies, code, agent architectures, and processes we develop
• You retain ownership of your business data, brand assets, and proprietary information you provide to us
• AI-generated outputs produced through our systems are licensed to you for business use — they are not exclusively owned by you and may not be resold or sublicensed without our written consent
• Custom deliverables built specifically for your business (websites, automations, content) are licensed to you upon full payment

Nothing in these Terms grants you a right to use the Dion AI name, logo, or brand without our prior written consent.

Data & Privacy

Your data is important to us and is handled with care. The full details of how we collect, use, and protect your information are set out in our Privacy Policy.

• By using our services, you acknowledge that online data transmissions are not fully secure
• We implement industry-standard security measures to protect your data
• We do not sell your personal data to third parties
• Data shared with us to operate AI systems is used solely for delivering your services

Our Privacy Policy forms part of these Terms and is incorporated by reference.

Third-Party Tools & Integrations

Our services integrate with a range of third-party platforms and tools, including CRM systems, AI model providers, hosting platforms, and communication tools.

• We are not liable for the performance, downtime, data handling, or failures of any third-party tool or platform
• Third-party services are governed by their own terms of service and privacy policies
• We will endeavour to notify you of material changes to integrations that affect your service

Third-party providers may include, but are not limited to: OpenAI, Anthropic, GoHighLevel, Make, Zapier, Google, and AWS. Their use is subject to their respective terms.

Limitation of Liability

To the maximum extent permitted by applicable law:

• Dion AI LLC is not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or loss of business opportunity
• We are not liable for errors, inaccuracies, or failures arising from AI-generated outputs or automated workflows
• We are not liable for downtime, interruptions, or failures caused by third-party platforms
• Our total aggregate liability to you for any claim arising from these Terms or your use of our services is capped at the total fees paid to Dion AI LLC in the three (3) months preceding the event giving rise to the claim

Nothing in this clause limits liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.

Indemnity

You agree to indemnify, defend, and hold harmless Dion AI LLC, its directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

• Your misuse of our services or any breach of these Terms
• Your violation of any applicable law or third-party right
• Any content or data you provide to us or input into our systems
• Decisions made based on AI-generated outputs without appropriate review

Termination

Either party may terminate a service engagement in accordance with the agreed contract or project terms.

• We reserve the right to suspend or terminate your access to our services immediately if you breach these Terms or engage in conduct we determine to be harmful or unlawful
• Upon termination, any outstanding fees remain payable
• We will endeavour to provide reasonable notice of termination where possible, except in cases of material breach

Sections relating to intellectual property, limitation of liability, indemnity, and governing law survive termination of these Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of Wyoming, USA.

• Where applicable, the Australian Consumer Law and relevant consumer protection provisions apply to clients located in Australia
• Any dispute will be subject to the exclusive jurisdiction of the courts of Wyoming, unless local consumer protection laws require otherwise
• For clients in the European Union, your statutory rights under applicable EU consumer protection legislation are not affected by these Terms

Changes to Terms

We may update these Terms of Service at any time. When we make material changes, we will update the "Last updated" date at the top of this page.

Your continued use of our services following any changes constitutes your acceptance of the revised Terms. If you do not agree with updated Terms, you must stop using our services.

We encourage you to review these Terms periodically to stay informed of any updates.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and Dion AI LLC with respect to your use of our services.

They supersede all prior discussions, agreements, or representations, whether written or oral.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
